1. ELIGIBILITY: Open only to individuals worldwide who are over the age of eighteen (18) or, if greater, the age of majority in the jurisdiction in which they reside, and have the legal capacity to enter into a binding contract (excluding countries with strict customs limitations which do not allow the prize to be shipped), and is void where prohibited by law. Employees (and their immediate families (parent, child, spouse or sibling and their respective spouses, regardless of where they reside) and those living in their same households, whether or not related) of Unison Audio Inc. (“Sponsor”), and its parents, affiliates, subsidiaries and advertising and promotion agencies are not eligible to enter or win. By participating, entrants agree to be bound by these Official Rules and the decisions of the judges and/or Sponsor, which are binding and final on matters relating to this sweepstakes. Sweepstakes is subject to all applicable federal, state and local laws.

2. TO ENTER: Starting 12 A.M. Pacific Time (“PST”) on Monday, April 4, 2022 with the launch of the Unison Beatmaker Blueprint, until 11:59 P.M. Pacific Time (“PST”) on Saturday, April 30 (the “Entry Period”), there are two ways to enter: 1.) Online without purchase: visit https://web.unison.audio/bb-giveaway-rules and complete and submit the official entry form. All online entries must be received by the later of the end of the Entry Period to be eligible. OR 2.) Online with purchase: visit https://unison.audio/beatmaker-blueprint and purchase the Unison Beatmaker Blueprint during the Entry Period. All online purchase entries must be received during the Entry Period to be eligible. Limit one (1) entry per person, per email address and per household for the duration of the Entry Period regardless of method of entry. Multiple entries received from any person or e-mail address or household after the first entry received from that person or email address or household will be void. Entries generated by script, macro or other automated or mechanical means or means which subvert the entry process will be void.

3. PRIVACY POLICY: Participation in the Sweepstakes requires that we collect, store, use, share and otherwise process personal information of participants. To learn what kinds of personal information we process along with why, how and where we process it, please read our Privacy Policy. It will also provide useful information about the rights participants may have in relation to their personal information and how they may be able to exercise such rights.

4. DRAWING: 10 potential winners will be selected in a random drawing held within three (3) days of the close of the Entry Period from all eligible entries received. The odds of winning depend on the number of eligible entries received.

5. WINNERS NOTIFICATION: Potential winners will be notified by e-mail and/or phone and may be required to execute and return an affidavit of eligibility, a liability release and, where lawful, a publicity release within seven (7) days of date of issuance. Potential winners also may be required to provide or complete other documentation, including tax forms (W-9), as a condition of receipt of prize. If such documents are not returned within the specified time period, a prize or prize notification is returned as undeliverable. If Sponsor is unable to contact a potential winners or a potential winners is not in compliance with these Official Rules, prize will be forfeited and, at Sponsor’s sole discretion, an alternate winners selected. If a potential winners is an eligible minor in his/her jurisdiction of residence, prize may be awarded in the name of his/her parent or legal guardian who will be responsible for fulfilling all requirements imposed on winners set forth herein. 

6. PRIZES: 6 pairs of Yamaha HS8s Approximate Retail Value (“ARV”) is $750 per pair. 4 Alesis 49 Key Keyboards Approximate Retail Value (“ARV”) is $150 per keyboard. Total ARV of all prizes: $5,100. Prize is awarded “as is” with no warranty or guarantee, either express or implied by Sponsor. Winners may not substitute, assign or transfer prize or redeem prize for cash, but Sponsor reserves the right, at its sole discretion, to substitute prize (or portion thereof) with one of comparable or greater value. Winners is responsible for all applicable federal, state and local taxes, if any, as well as any other costs and expenses associated with prize acceptance and use not specified herein as being provided. All prize details are at Sponsor’s sole discretion. All costs and expenses related to prize acceptance and use not specified herein as being awarded are the responsibility of winners.

7. GENERAL TERMS: Released Parties (as defined below) are not responsible for lost, late, incomplete, inaccurate, stolen, misdirected, undelivered, garbled, illegible or postage-due mail, entries or email; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the sweepstakes, the processing of entries, the announcement of the prize or in any sweepstakes-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by other entrants or site users, tampering, hacking, or by any equipment or programming associated with or utilized in the sweepstakes. Released Parties are not responsible for injury or damage to participants' or to any other person's computer related to or resulting from participating in this sweepstakes or downloading materials from or use of the website. Persons who tamper with or abuse any aspect of the sweepstakes or website or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated entries will be void. Should any portion of the sweepstakes be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the sweepstakes and, if terminated, at its discretion, select the potential winners from all eligible, non-suspect entries received prior to action taken or as otherwise deemed fair and appropriate by Sponsor. Entrants, by participating, agree that Sponsor, Instagram and Facebook Inc., YouTube and Alphabet Inc., and their respective parents, affiliates, subsidiaries and advertising and promotion agencies and all of their respective officers, directors, employees, representatives and agents (collectively, “Released Parties”) will have no liability whatsoever for, and shall be held harmless by entrants against, any liability, for any injuries, losses or damages of any kind, including death, to persons, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize, including any harm/injury caused from the use of a vehicle, or participation in this sweepstakes. Each winners, by acceptance of prize, except where legally prohibited, grants permission for Sponsor and its designees to use his/her name, address (city and state), photograph, voice and other likeness and prize information for advertising, trade and promotional purposes without further compensation, in all media (including digital media) now known or hereafter discovered, worldwide in perpetuity, without notice or review or approval. In the event of a dispute regarding entries received from multiple users having the same e-mail account, the authorized subscriber of the e-mail account at the time of entry will be deemed to be the entrant and must comply with these Official Rules. Authorized account subscriber is the natural person who is assigned the e-mail address by the Internet Service Provider (ISP), on-line service provider, or other organization responsible for assigning e-mail addresses.

8. CAUTION: ANY ATTEMPT TO DAMAGE THE WEBSITE OR TO UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR WILL DISQUALIFY ANY SUCH INDIVIDUAL AND RESERVES THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) AND OTHER REMEDIES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. 

9. GOVERNING LAW AND DISPUTES: This Agreement will be governed by and construed in accordance with the applicable laws of the Province of British Columbia, Canada. Each party irrevocably agrees that any legal action, suit or proceeding must be brought solely and exclusively in, and will be subject to the service of process and other applicable procedural rules of, the State or Federal court in British Columbia, and each party irrevocably submits to the sole and exclusive personal jurisdiction of the courts of British Columbia. All issues and questions concerning the construction, validity, interpretation and enforceability of these Rules or the rights and obligations of entrants, Sponsor in connection with the Sweepstakes will be governed by and construed in accordance with the internal laws of the Province of British Columbia, Canadak, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other laws. The parties each agree to finally settle all disputes only through arbitration; provided, however, the Sponsor shall be entitled to seek injunctive or equitable relief in the state and federal courts in British Columbia and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. 

10. WINNERS LIST: Entrants may contact support@unison.audio via email to request a winners’s list. The list will not be communicated until the Winners selection process has ended, and the Winners have been determined. Such sharing of Winners’s list may be subject to delay in the event that an official announcement to confirm the Winners is planned, in which case Sponsor shall share the list with Entrant(s) after such announcement is made. Any failure by Sponsor to supply such list in a timely manner shall not give rise to any legal action against Sponsor, or create liability or constitute a violation of the duties of Sponsor herein.
